HELPING HANDS GALLERY TERMS AND CONDITIONS OF PURCHASE
These terms and conditions of purchase (“Terms”) apply to the sale of the works of art (“Artworks”) listed on our website info@helpinghandsgallery.com (the “Site”) to you. In these Terms, references to “we”, “us” and “our” are references to Helping Hands Gallery (HHG) and references “you” and “your” are references to you, the person using the Site. These Terms apply in addition to our Website Terms of Use which will also apply to your use of the Website.
Before you proceed to payment for an order you have placed on our Site you will be required to click a box indicating that you agree to be bound by these Terms in relation to that order. Therefore, you should read these Terms carefully and make sure that you understand and agree to them before submitting an order for any Artworks from our Site.
We may amend these Terms from time to time as set out in clause 12 and the then current version of these Terms will apply whenever you submit an order. Every time you wish to order Artworks, please check these Terms to ensure you understand the terms which will apply at that time.
- Information about HHG
1.1 Helping Hands Gallery (HHG) is a company registered in Louisiana under with our registered office at P. O. Box 610 Madisonvile, LA. That is also our main office address. - The Artworks
2.1 The Artworks shown on the Site have been made available for purchase via the Site by the artists of those Artworks or someone acting with their authority. When you purchase an Artwork via the Site you do not purchase or acquire any right or interest in the copyright or any other intellectual property right in or to that Artwork. Without limiting the foregoing, you may not copy the Artwork or produce any image or other reproduction of the Artwork or publish or communicate to the public any such copy, reproduction or image of the Artwork.
2.2 The images of the Artworks displayed on our Site are made available for illustrative purposes only. Although we have made every effort to display the colors accurately, we cannot guarantee that your computer’s display of the colors accurately reflects the actual colors of the Artworks. Your Artworks may vary slightly from those images.
2.3 Where an Artwork is one of a limited number of prints or an original piece, this will be indicated in the product description on the Site and the Artworks will be sold to you in accordance with that description.
2.4 All Artworks shown on our Site are subject to availability. We will inform you by e-mail as soon as possible if the Artwork you have ordered is not available and we will not process your order if made.
2.5 If you are in breach of clause 2.1 you agree that damages may not be an adequate remedy for us or for the owner of the copyright and other intellectual property rights in the Artwork. As such, you agree that without limiting any other remedy we shall be entitled to obtain an injunction against you and any third party (such as any website hosting company hosting any site through which such breach is being carried on) to prevent or stop any such breach.
- How a contract is formed between you and us
3.1 Our order process allows you to check and amend any errors before submitting your order to us via the Site. Please take the time to read and check your order at each page of the order process.
3.2 After you place an order, you will receive an e-mail from us acknowledging that we have received your order. However, please note that this does not mean that your order has been accepted or that a contract to supply the Artwork that you have ordered has been formed.
3.3 A contract for the sale and supply of the Artwork that you have ordered (a “Purchase Contract”) will only be formed when we confirm our acceptance of that order. We will confirm our acceptance of your order by sending you an e-mail that confirms that the Artworks have been dispatched (“Dispatch Confirmation”).
3.4 If we are unable to supply you with the Artwork that you have ordered, for example because that Artwork is not in stock or is no longer available or because of an error in the price for such Artwork on our Site, we will inform you of this by e-mail and we will not process your order (unless you have opted to purchase the Artwork at the correct price as envisaged in clause 4.5 below) nor will we provide you with substitute or alternative artworks. If you have already paid for the Artworks, we will refund you the full amount as soon as possible.
- Price of Artworks and delivery charges
4.1 The applicable purchase price for each Artwork will be quoted on our Site from time to time (the “Purchase Price”). We take all reasonable care to ensure that the Purchase Prices stated on the Site are correct at the time when the relevant information was entered onto the Site. However if we discover an error in the Purchase Price of the Artworks before we accept any order for such Artwork, we reserve the right not to accept any such order and in that case clause 4.5 will apply.
4.2 Purchase Prices for our Artworks may change from time to time, but changes will not affect any order which we have accepted with a Dispatch Confirmation.
4.3 The Purchase Price as stated on the Site includes VAT (where applicable) at the applicable rate chargeable in the US at that time. However, if the rate of VAT changes between the date of your order and the on which payment is made for such Artwork, we will adjust the VAT you pay accordingly.
4.4 The Purchase Price of an Artwork Product does not include delivery charges. Our delivery charges are as quoted on our Site from time to time and will be confirmed to you during the order process.
4.5 Our Site contains a large number of Artworks. It is always possible that, despite our reasonable efforts, our Site may display incurred Purchase Prices for some Artworks. If prior to accepting your order, we discover an error with the Purchase Price stated on our Site:
(a) where the correct Purchase Price is less than the price stated on our Site, we will charge the lower amount when dispatching the Artworks to you; and
(b) if the correct Purchase Price is higher than the price stated on our Site, we will contact you as soon as possible to inform you of this error and we will give you the option of continuing to purchase the Product at the correct Purchase Price or cancelling your order. We will not process your order until we have your instructions. If we are unable to contact you using the contact details you provided during the order process, we will treat the order as cancelled and notify you in writing.
4.6 Payments for the Artworks and any delivery charges must be made in advance at the time of submitting the order for any Artworks. All payments will be handled by our third party payment processors, PayPal, and will be subject to their terms and conditions and privacy policy.
- Charitable Donations
5.1 We aim to raise money for certain charities which have been chosen by us from time to time. When an artist makes their Artwork available for purchase via the Site will donate some of the purchase price to one of those charities.
5.2, we undertake to donate the sum indicated during the order process (the “Donation”) to your preferred charity once your order has been paid for you and accepted by us.
5.2 If you exercise your right to cancel a Purchase Contract in accordance with clause 8 or if you are otherwise entitled to a refund under these Terms, we will not pay your Donation to your nominated charity and instead the Donation will be refunded to you.
5.3 In the event that it is not possible for us to make the Donation to the specified charity for any reason we will refund this portion of the Purchase Price to you or donate it to an alternative charity as nominated by you.
- Delivery and title and risk
6.1 Once an order has been accepted by us and a Purchase Contract formed, we will ensure delivery of your Artwork to the delivery address specified in your order by the estimated delivery date set out in the Dispatch Confirmation, unless there is an Event Outside Our Control. If we are unable to meet the estimated delivery date because of an Event Outside Our Control, we will contact you with a revised estimated delivery date. Time for delivery of the Artworks is not of the essence.
6.2 Subject to clause 7, delivery will be completed when we deliver the Artworks to the address you gave us and, provided that you have paid for the Artwork in full and subject to cancellation in accordance with clause 8, title to the Artwork and the risk of damage to or loss of the Artwork will pass to you at that point.
6.3 Upon receipt of delivery of your Artwork, you must inspect the Artwork to ensure that it is not damaged or otherwise not in accordance with the description of such Artwork on our Site at the time you submitted your order. Any such damage or non-conformity must be notified to us in writing as soon as possible and in any event within 7 days. If we do not receive any such notice within 7 days we shall be entitled to assume that the Artwork is not damaged and accords with the description on our Site.
- International delivery
7.1 If you would like to order Artworks for delivery to an address outside the US, please contact us at info@helpinghandsgallery.com and we will do our best to help you arrange for international delivery. If we are able to arrange for international delivery, delivery of the Artwork will be complete, and the risk of loss of or damage to the Artwork will pass to you, on collection of the Artwork from our premises by the delivery company or carrier and you will be responsible for any delivery costs and any other charges or taxes that are incurred as a result of such international delivery.
- Your cancellation and refund rights if you are a consumer
This clause only applies if you are purchasing the Artworks as a consumer.
8.1 If you are a consumer, you have a legal right to cancel a Purchase Contract during the period described below in clause 8.3 (the “Cancellation Period”). This means that during the relevant Cancellation Period if you change your mind or for any other reason you decide you do not want to keep an Artwork, you can notify us of your decision to cancel your purchase and receive a refund. Advice about your legal right to cancel the Purchase Contract is available from your local Consumer Bureau., but an explanation of your legal right to cancel and how to exercise it will also be provided in the Dispatch Confirmation.
8.2 The Cancellation Period starts from the date of the Dispatch Confirmation, which is when a contract between us is formed, and ends on the date that is 7 (seven) working days starting from the day after the day you receive the Artworks. Working days means that Saturdays, Sundays or public holidays are not included in this period.
8.3 To cancel a Purchase Contract, you must contact us in writing by sending an e-mail to info@helpinghandsgallery.com or by sending a letter to Helping Hands Gallery (HHG) P. O. Box 610 Madisonville, LA 70447. You may wish to keep a copy of your cancellation notification for your own records.
8.4 You will receive a full refund of the price you paid for the Artworks and any applicable delivery charges you paid for. We will process the refund due to you as soon as possible and, in any case, within 30 calendar days of the day on which you gave us notice of cancellation in accordance with these Terms.
8.5 If you cancel a Purchase Contract for the purchase of an Artwork in accordance with this clause 8:
(a) you must return the Artworks to us as soon as reasonably practicable;
(b) unless the Artworks are damaged or not as described on the Site (as envisaged in clause 6.3), you will be responsible for the cost of returning the Artworks to us;
(c) you have a legal obligation to keep the Artworks in your possession and to take reasonable care of the Artworks while they are in your possession.
8.6 As a consumer, you will always have legal rights in relation to Artworks that are defective or not as described. These legal rights are not affected by the returns policy in these Terms. Advice about your legal rights is available from your local Consumer Bureau.
- How we use your personal information
9.1 We only use your personal information provided to us when you submit an order to the extent necessary to process your order and deliver your Artworks to you and otherwise in accordance our Privacy Policy. By agreeing to these Terms you agree to the terms of the Privacy Policy and give your consent to the processing of your personal data described therein. For details, please see our Privacy Policy. Please take the time to read the Privacy Policy, as it includes important terms which apply to you.
- Liability
10.1 Nothing in these Terms shall be construed as an attempt to exclude or limit our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation;
(c) any breach of the terms implied by section 12 of the Sale of Goods Act (title and quiet possession);
(d) if you are a consumer, any breach of the terms implied by section 13 to 15 of the Sale of Goods Act (description, satisfactory quality, fitness for purpose and samples); and
(e) if you are a consumer, defective Artworks under the Consumer Protection Act .
10.2 Subject to clause 10.1, to the fullest extent permitted by applicable law we hereby exclude and will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms or a Purchase Contract for:
(a) any loss of profits, sales, business, or revenue;
(b) loss or corruption of data, information or software;
(c) loss of business opportunity;
(d) loss of anticipated savings;
(e) loss of goodwill; or
(f) any indirect or consequential loss.
10.3 Subject to clause 10.1 and without prejudice to clause 10.2, our total liability to you in respect of all other losses arising under or in connection with the Purchase Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the Purchase Price of the Artwork paid by you to us in accordance with these Terms.
10.4 Except as expressly stated in these Terms and to the fullest extent permitted by applicable law, we do not give any representations, guarantees, conditions, warranties or undertakings in relation to the Artworks. Any representation, guarantee, undertaking, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is hereby excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the Artworks are suitable for your purposes and do not give any warranty, representation or undertaking to that effect.
- Events outside our control
11.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Purchase Contract that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 11.2.
11.2 An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
11.3 If an Event Outside Our Control takes place that affects the performance of our obligations under a Contract:
(a) we will contact you as soon as reasonably possible to notify you; and
(b) our obligations under a Purchase Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Artworks to you, we will arrange a new delivery date with you after the Event Outside Our Control is over.
- Our right to vary these terms
12.1 We may revise these Terms from time to time, but any such revised Terms will only apply to orders accepted after the date of such revision. Every time you order Artworks from us and such order is accepted, the Terms in force at the time you submit that order will apply to the contract between you and us for the purchase of the Artworks specified in such order.
- Communications between us
13.1 When we refer, in these Terms, to “in writing”, this will include e-mail.
13.2 If you wish to contact us in writing, or if any clause in these Terms requires you to give us notice in writing, you can send this to us by e-mail or by pre-paid post to Helping Hands Gallery (HHG) at Helping Hands Gallery (HHG) P. O. Box 610 Madisonville, LA 70447 and/or info@helpinghandsgallery.com We will confirm receipt of this by contacting you in writing, normally by e-mail. If you are a consumer and exercising your right to cancel under clause 9, please see that clause 9 for how to tell us this.
13.3 If we have to contact you or give you notice in writing, we will do so by e-mail or by pre-paid post to the address you provide to us in your order.
13.4 If you are a business, please note that any notice given by you to us, or by us to you, will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post office and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.
- Other important terms
14.1 We may transfer our rights and obligations under any Purchase Contract to another organization, but this will not affect your rights or our obligations under these Terms.
14.2 You may only transfer your rights or your obligations under a Purchase Contract to another person if we agree in writing.
14.3 Each Purchase Contract is between you and us. No other person shall have any rights to enforce any of its terms.
14.4 Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
14.5 If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
14.6 These Terms are governed by the laws of the State of Louisiana/St. Tammany Parish. This means a contract for the purchase of Artworks through our Site and any dispute or claim arising out of or in connection with it will be governed by State of Louisiana/St. Tammany Parish. You and we both agree that the courts of England and Wales will have exclusive jurisdiction in relation to any disputes in relation to these Terms or to the purchase of an Artwork (whether or not such dispute is contractual in nature).
5. Online Gallery
Helping Hands Gallery Inc. (“Helping Hands Gallery,” “we” or “our“) provides a service for selling and purchasing Artwork(s) and commercially exploiting digital images of works of art (the “Services“) through our website, accessible at www.Helpinghandsgallery.com (the “Site“). Please read carefully the following terms and conditions (“Terms“) and our Privacy Policy, which may be found at www.Helpinghandsgallery.com and which is incorporated by reference into these Terms. These Terms govern your access to and use of the Site and Services, and constitute a binding legal agreement between you and Helping Hands Gallery.
Certain areas of the Site and your access to certain Services may have different terms and conditions posted or may require you to agree with and accept additional terms and conditions. If there is a conflict between these Terms and the terms and conditions posted for a specific area of the Site or for specific Services, the latter terms and conditions shall take precedence with respect to your use of or access to that area of the Site or Services.
YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING OR USING THE SITE OR SERVICES OR BY SELLING OR PURCHASING A WORK ON OR THROUGH THE SITE OR SERVICES OR BY POSTING ANY CONTENT ON THE SITE, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS, WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SITE OR SERVICES. If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms and, in such event, “you” and “your” will refer and apply to that company or other legal entity.
Modification
Helping Hands Gallery reserves the right, at its sole discretion, to modify, discontinue or terminate the Site or Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on the Site or provide you with notice of the modification. We will also update the “Last Updated Date”. By continuing to access or use the Site or Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site and Services.
Eligibility
The Site and Services are intended solely for persons who are 18 or older. Any access to or use of the Site or Services by anyone under 18 is expressly prohibited. By accessing or using the Site or Services you represent and warrant that you are 18 or older.
Account Registration
In order to list a work on the Site or to make a purchase through the Site, you must first create an account (“Account“) by completing our registration process. During the registration process you will be required to provide certain information and you will establish a username and a password. Upon completion of our registration process you will become a “Member.” You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Helping Hands Gallery reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete. You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You will immediately notify Helping Hands Gallery of any unauthorized use of your Account.

Seller Terms and Conditions
Listing Works on the Site
As a Member, you may submit listings for Artwork(s)(“Artwork(s)“) that you have created and that you desire to sell through the Site and Services. You may not submit listings for Artwork(s) that were created by another artist. As a Member you may also submit listings for digital images of works of art (“Digital Works‘) that you have created and that you desire to commercially exploit through the Site and Services. You may not submit listings for Digital Works that were created by another artist. In order for your listings to be accepted, you must provide Helping Hands Gallery with all the information requested on the applicable page of our Site and you must comply with any other Helping Hands Gallery requirements as identified on such page. Without limiting the generality of the foregoing, if you submit listings for sale you may be required to verify your identity by separately providing Helping Hands Gallery with a copy of a government-issued ID or similar documentation. Your listings must be accurate and complete and comply with Helping Hands Gallery’s then-current listings content guidelines, which are available at www.helpinghandsgallery.com. Helping Hands Gallery reserves the right to edit any listings to ensure that they comply with these guidelines. You acknowledge that your listings may not be immediately searchable by keyword or category for several hours (or up to 24 hours in some circumstances). The placement of your listings in search and browse results may be based on factors that include without limitation title, keywords and price.
You acknowledge that Helping Hands Gallery reserves the right to promote and market Artwork(s) and/or Digital Works through the use of sales and/or discounts. The sale or discount amount will apply to the listing price of Artwork(s) and/or Printed Works (defined below) relating to the Digital Works. You always retain the right to remove a listing for an Artwork(s)or Digital Work from the Site – please see below for instructions.
If you want to remove a listing for an Artwork(s)or Digital Work from the Site you must go to your account, click on the image you want to delete and then click on Delete and follow the steps set forth on that page.
Responsibility for Works
You acknowledge and agree that you are solely responsible for all Artwork(s) and Digital Works that you make available through the Site and Services. Accordingly, you represent and warrant that: (i) as to Artwork(s) that you make available through the Site and Services, you are the creator of all such Artwork(s)s and you are the sole and exclusive owner of all such Artwork(s); (ii) as to Digital Works that you make available through the Site and Services, you are either the sole and exclusive owner of all such Digital Works or you have all rights, licenses, consents and releases that are necessary to grant to Helping Hands Gallery the rights in such Digital Works as contemplated under these Terms; and (iii)neither the Artwork(s) nor Digital Works that you make available through the Site and Services nor Helping Hands Gallery’s use and exploitation thereof as contemplated under these Terms will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
Online Sales
The Artist hereby appoint Helping Hands Gallery as an independent non-exclusive reseller with the right to resell such Artwork(s) through the Site and Services and on third party websites (collectively “Online Sales”) and you hereby grant Helping Hands Gallery a worldwide, transferable, nonexclusive, right and license, with a right to sublicense, to: (i) use, distribute, publicly perform and publicly display copies of the Artwork(s)Sales via Online Sales channels; and (ii) access, view, use, crop, resize, copy, distribute, license, publicly display, publicly perform, transmit and broadcast copies of the Artwork(s)in any form, medium or technology now known or later developed for the purpose of promoting Helping Hands Gallery, the Site and the Services. You acknowledge and agree that the foregoing license rights are granted on a royalty-free basis and that your sole compensation for the grant of such license rights, if any, will be in the form of the Artist Revenue Share (defined below), which is payable only upon the sale of Artwors via the Online Sales channel.
If you submit listings for Digital Works, you will Permit Members and other third parties to purchase fine art reproductions of the Digital Works (collectively, “Printed Works”) through our print service, which is described at: www.helpinghandsgallery.com
If you submit listings for Digital Works, you hereby grant Helping Hands Gallery a worldwide, transferable, nonexclusive, right and license, with a right to sublicense, to (i) use, modify (as appropriate in connection with manufacturing and distribution of Printed Works), reproduce, distribute, publicly perform and publicly display the Digital Works in connection with the manufacture, distribution and sale of Printed Works to Members and other third parties via Online Sales and through other offline channels (“Offline Sales”)”). and (ii) access, view, use, crop, resize, copy, distribute, license, publicly display, publicly perform, transmit and broadcast copies of the Digital Works in any form, medium or technology now known or later developed, for the purpose of promoting Helping Hands Gallery, the Site and the Services. You acknowledge and agree that the foregoing license rights are granted on a royalty-free basis and that your sole compensation for the grant of such license rights, if any, will be in the form of the Artist Revenue Share (defined below), which is payable only upon the sale of a Digital work via Online Sales channels and Offline Sales channels. Helping Hands Gallery may appoint one or more third party subcontractors, who may exercise the license rights above for the purpose of enabling Helping Hands Gallery to process and fulfill orders for Printed Works.
As between you and Helping Hands Gallery, Helping Hands Gallery will be deemed the seller of any Artwork(s) and Printed Works that are purchased via Online Sales channels. If any Artwork(s) and/or Printed Works are sold via a third party website, the terms and conditions of the third party website will apply to the purchase in question by the applicable purchaser via the third party website. However, as between you and Helping Hands Gallery, these Terms will apply to the sale of such Artwork(s) and/or Printed Work.
Helping Hands Gallery and/or its third party service providers will be responsible for collecting billing and shipping information from the purchaser and for processing payment for such purchases via the Site and Services. For purchases made via third party websites and for Offline Sales, the applicable third party website or Helping Hands Gallery’s Offline Sales partner will be responsible for collecting billing and shipping information, as applicable, from the purchaser and for processing payments, and will remit applicable payments relating to such sales as agreed upon between Helping Hands Gallery and the third party website or Helping Hands Gallery’s Offline Sales partner, as applicable, to Helping Hands Gallery and share related shipping information, including the contact details of the purchaser where necessary, with Helping Hands Gallery.
For Artwork(s) only, Helping Hands Gallery will be responsible for shipping the purchased Artwork(s) directly to the purchaser. Should you agree to ship the purchased Artwork(s) to the purchaser, Helping Hands Gallery may provide you with information regarding its preferred shippers with which Helping Hands Gallery maintains an account. You then agree to ship the purchased Artwork(s) to the purchaser within seven days following the date of purchase (the “Shipping Period”). If you do not ship the purchased Artwork(s) to the purchaser prior to the expiration of the Shipping Period, then the sale may be cancelled. If you ship the purchased Artwork(s) via a Helping Hands Gallery preferred shipper account, Helping Hands Gallery will be responsible for the cost of shipping. You are also responsible for providing accurate shipping weight, shipping dimensions and shipping address to Helping Hands Gallery if you are using a Helping Hands Gallery preferred shipper. If actual shipping weight, shipping dimensions and shipping origination information at the time of shipment varies from the information provided by you, Helping Hands Gallery (after providing documentation) reserves the right to deduct the resulting increased shipping costs from your Artist Revenue Share (defined below). If you do not ship the purchased Artwork(s) via a Helping Hands Gallery preferred shipper or if you pay for the cost of shipping yourself, Helping Hands Gallery will reimburse you for the amount you paid; up to the amount that Helping Hands Gallery or the third party website charged the purchaser for shipping.
For sales of Artwork(s) via the Online Sales channels, Helping Hands Gallery will credit your Account in an amount to be determined in accordance with Helping Hands Gallery’s then-current standard pricing and commission terms, which may be found at www.Helpinghandsgallery.com (the “Artist Revenue Share”); for sales of Artwork(s)via the Site and Services, subject to Helping Hands Gallery’s receipt of confirmation of delivery to the purchaser, Helping Hands Gallery will credit your Account with the corresponding Artist Revenue Share following the expiration of the return period and for sales of Artwork(s) via third party websites, Helping Hands Gallery will credit your Account with the corresponding Artist Revenue Share within a commercially reasonable time after it has received payment from the third party website and the Artwork(s)has been confirmed to have been successfully delivered to the purchaser, as determined by Helping Hands Gallery, in its sole discretion.
You agree to comply with the terms and conditions of Helping Hands Gallery’s then-current Return Policy at www.Helpinghandsgallery.com that are applicable to any Artwork(s)that are sold through the Site and Services.
For sales of Printed Works via Online Sales and Offline Sales, Helping Hands Gallery will credit your Account with the applicable Artist Revenue Share as set forth in Helping Hands Gallery’s then-current standard pricing and commission terms, which, as noted above, may be found at www.helpinghandsgallery.com .
You will have the right to request Helping Hands Gallery to remit the Artist Revenue Share in your Account in accordance with a Helping Hands Gallery-designated payment schedule. Upon the termination of these Terms or cancellation of your Account, Helping Hands Gallery will remit to you the remaining balance of Artist Revenue Shares in your Account, if any.
If you remove a listing for a Digital Work from the Site, the license rights granted by you to Helping Hands Gallery to manufacture, distribute and sell Printed Works with respect to such Digital Work will terminate as of the date the listing is removed, except that such license rights will survive and remain in effect for as long as necessary for Helping Hands Gallery and its third-party subcontractors to fulfill any in-progress orders for such Printed Works and for any orders for such Printed Works accepted by Helping Hands Gallery or its third-party subcontractors or its Online Sales partners via third party websites and its Offline Sales partners prior to or as of the effective date of termination. In addition, you acknowledge and agree that the license rights granted by you to Helping Hands Gallery with respect to using such Digital Work to promote Helping Hands Gallery, the Site and the Services will remain in full force and effect for only as long as necessary for Helping Hands Gallery to fulfill any current obligations that require using the Digital Work for such promotional purposes.
Purchaser Terms and Conditions
Purchases of Artwork(s)
As a Member, you may purchase Artwork(s) that are listed by other Members on the Site. When you purchase such an Artwork(s) through the Site and Services, you are purchasing the work from Helping Hands Gallery and not from the Member identified on the listing for such work. Prices for Artwork(s) will be as specified on the applicable listing. You acknowledge that prices do not include shipping and handling charges or applicable Taxes (defined below), if any, for which you are responsible and which will be separately identified on your receipt. Helping Hands Gallery and/or its third party service providers will collect your billing and shipping information and process your payment. The Member identified on the listing of the Artwork(s) will ship the purchased work directly to you. The terms and conditions of Helping Hands Gallery’s then-current Return Policy apply to any Artwork(s) that you purchase through the Site and Services. When you purchase Artwork(s)via Online Sales (other than via the Site and Services) such purchases will be subject to the terms and conditions of the applicable Online Sales channels which will be presented to you at the time of purchase.
Purchases of Printed Works
As a Member, you may purchase Printed Works that are listed by other Members on the Site. Prices for Printed Works will be as specified on the applicable listing. You acknowledge that prices do not include shipping and handling charges or applicable Taxes (defined below), if any, for which you are responsible and that will be separately identified on your receipt. When you purchase Printed Works through the Site and Services, Helping Hands Gallery and its third party service providers will collect your billing and shipping information, process your payment and ship the Printed Works directly to you. The terms and conditions of Helping Hands Gallery’s then-current Return Policy apply to any Printed Works that you purchase through the Site and Services. When you purchase Printed Works via Online Sales (other than via the Site and Services) and Offline Sales such purchases will be subject to the terms and conditions of the applicable Online Sales and Offline Sales channels which will be presented to you at the time of purchase.
Order Cancellations
Helping Hands Gallery reserves the right to cancel any order for an Artwork(s)or Printed Work placed via the Site and Services if Helping Hands Gallery determines, in its sole discretion, that the item is mispriced, out of stock, discontinued, or otherwise unavailable at the price listed via the Site and Services. If Helping Hands Gallery cancels an order placed via the Site and Services, Helping Hands Gallery will send you an email confirmation of such cancellation and you will not be charged for your order.
Terms for both Sellers and Purchasers
Transaction Restrictions
If you are a Member and have submitted a listing for an Artwork(s) or a Digital Work and have been contacted through the Site and Services by another Member with respect to purchasing either of the foregoing, you may not sell such Artwork(s) or Digital Work to such Member independent of the Site and Services. Similarly, if you are a Member and desire to purchase an Artwork(s) or Digital Work for which another Member has submitted a listing, you may not purchase such Artwork(s)or Digital Work from such Member independent of the Site and Services.
Taxes
All prices, commissions, fees and other amounts referred to in these Terms, including any prices, commissions and fees set forth on the Site, are stated in U.S. dollars and do not include any sales, use, value added (“VAT“), goods and services (“GST“) or similar taxes or withholding taxes or any customs, duties or tariffs that may be assessed by any governmental tax authority or that are otherwise payable under applicable law with respect to the purchase, sale and licensing transactions contemplated hereunder (collectively, “Taxes“). If you are a seller of Original Works and/or Printed Works, you acknowledge that Helping Hands Gallery will withhold the Taxes required to be withheld from the payments Helping Hands Gallery makes to you. Seller must fill out appropriate Tax forms prior to any commissions being paid. Commissions will be paid as follows:
- For an Artist living within the United States, a W9 Tax Form must be filled out for both the sale of the Arwork(s) or Prints.
- For an Artist living outside the United States, a W8BEN Tax Form must be filled out for Originals and Prints. A W8BEN with an ITIN (Individual Taxpayer Identification Number) should be filled out for Prints. If an ITIN number is not provided, Helping Hands Gallery will automatically withold at the maximum US Tax Rate. Funds will be sent to the United States Tax Office on your behalf.

If you are a purchaser of Original Works and/or Printed Works, you acknowledge that Helping Hands Gallery will add Taxes to the amounts charged, as a separate charge, when required or when allowed to do so. Each party will be responsible for complying with any and all obligations imposed on it under applicable law with respect to the collection and payment of any Taxes. Each party will cooperate with the other party, and furnish the other party with any customary written documentation or forms required under applicable law to enable the other party to comply with such obligations or to exercise any rights available under applicable law to minimize or to qualify for an exemption from any such obligations.
Color
You understand and agree that Helping Hands Gallery uses commercially reasonable efforts to display the colors of Artwork(s), Digital Works and Printed Works accurately via the Site and Services. However, because individual computer monitors may display colors differently, Helping Hands Gallery is not responsible for the color accuracy of any Artwork(s), Digital Works or Printed Works displayed on the Site and Services, and disclaims all liability in this regard.
Feedback
We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Site and Services (“Feedback“). You may submit Feedback by emailing us at info@helpinghandsgallery.com. You acknowledge and agree that all Feedback will be the sole and exclusive property of Helping Hands Gallery and you hereby irrevocably assign to Helping Hands Gallery and agree to irrevocably assign to Helping Hands Gallery all of your right, title and interest in and to all Feedback, including without limitation all worldwide patent rights, copyright rights, trade secret rights, and other proprietary or intellectual property rights therein. At Helping Hands Gallery’s request and expense, you will execute documents and take such further acts as Helping Hands Gallery may reasonably request to assist Helping Hands Gallery to acquire, perfect and maintain its intellectual property rights and other legal protections for the Feedback.
Member Content
In addition to submitting listings for Artwork(s) and Digital Works, Helping Hands Gallery may, in its sole discretion, designate areas of the Site in which Members can post, upload, publish or submit text, graphics, audio, video, images of works of art or other content on or to the Site (individually or collectively, “Member Content“). “Member Content” excludes any images of Artwork(s) or Digital Works for which a Member submits a listing, as described under “Seller Terms and Conditions” above. Helping Hands Gallery does not claim any ownership rights in any such Member Content and nothing in these Terms will be deemed to restrict any rights that a Member may have to use and exploit any such Member Content. By making available any Member Content on or through the Site and Services, (i) you grant Helping Hands Gallery a worldwide, non-exclusive, transferable, royalty-free, commission-free license to crop, resize, publicly display, publicly perform, distribute, broadcast and transmit such Member Content on or through the Site and Services in any form, medium or technology now known or later developed, for the purpose of promoting Helping Hands Gallery, the Site and Services, and (ii) you grant directly to other Members the right and license to view your Member Content on or through the Site and Services only in connection with such Member’s authorized use of the Site and Services. You reserve all other rights and licenses in and to any Member Content that you make available on or through the Site and Services.
You acknowledge and agree that you are solely responsible for any Member Content that you make available on or through the Site. You represent and warrant that: (i) you are the sole and exclusive owner of all Member Content that you make available on the Site or that you have all rights, licenses, consents and releases that are necessary to make available such Member Content and to grant all rights and licenses in such Member Content as granted under these Terms; and (ii)neither the Member Content nor your making available any Member Content on the Site nor any use of any Member Content as permitted under these Terms will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
Helping Hands Gallery Content
Helping Hands Gallery may also make available through the Site and Services text, graphics, audio, video and images of works of art (collectively, “Helping Hands Gallery Content“), some of which is owned by Helping Hands Gallery (“Helping Hands Gallery-owned Content“), and some of which is made available under license by a third party (“Helping Hands Gallery-licensed Content“). Helping Hands Gallery authorizes you to download, view and print “Helping Hands Gallery-owned Content” solely for your personal use in visiting the Site and, if you are a Member, in connection with exercising the rights granted to Members under these Terms. For Helping Hands Gallery Licensed Content, the scope of your rights thereto will be solely as set forth in the applicable license agreement that governs the use of such content, as identified on the page of the Site where such content appears. Nothing in these Terms is intended to modify, restrict or limit the scope of your rights as to such Helping Hands Gallery Licensed Content. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Helping Hands Gallery or its licensors, except for the licenses and rights expressly granted in these Terms.
General Prohibitions
You agree not to do any of the following:
- Post, upload, publish, submit or transmit any text, graphics, images, software, music, audio, video, information or other material that: (i)infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v)promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; (vii) harms minors in any way; or (viii) promotes illegal or harmful activities or substances.
- Use, display, mirror or frame the Site, or any individual element within the Site, Helping Hands Gallery’s name, any Helping Hands Gallery trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Helping Hands Gallery’s express written consent;
- Access, tamper with, or use non-public areas of the Site, Helping Hands Gallery’s computer systems, or the technical delivery systems of Helping Hands Gallery’s providers;
- Attempt to probe, scan or test the vulnerability of any Helping Hands Gallery system or network or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Helping Hands Gallery or any of Helping Hands Gallery’s providers or any other third party (including another user) to protect the Site, Services, Helping Hands Gallery Content or Member Content;
- Attempt to access or search the Site, Services, Helping Hands Gallery Content or Member Content or download Helping Hands Gallery Content or Member Content from the Site or Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Helping Hands Gallery or other generally available third party web browsers;
- Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
- Use any meta tags or other hidden text or metadata utilizing a Helping Hands Gallery trademark, logo URL or product name without Helping Hands Gallery’s express written consent;
- Use the Site, Services, Helping Hands Gallery Content or Member Content for any commercial purpose or the benefit of any third party in any manner not otherwise permitted by these Terms;
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site, Services, Helping Hands Gallery Content or Member Content to send altered, deceptive or false source-identifying information;
- Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site, Services, Helping Hands Gallery Content or Member Content;
- Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site;
- Collect or store any personally identifiable information from the Site or Services from other users of the Site or Services without their express permission;
- Impersonate or misrepresent your affiliation with any person or entity;
- Violate any applicable law or regulation; or
- Encourage or enable any other individual to do any of the foregoing.
Helping Hands Gallery will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Helping Hands Gallery may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that Helping Hands Gallery has no obligation to monitor your access to or use of the Site or Services or to remove any Member Content, but has the right to do so for the purpose of operating the Site and Services, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. Helping Hands Gallery reserves the right, at any time and without prior notice, to remove or disable access to any Member Content, listings for Artwork(s)or Digital Works, Helping Hands Gallery Content or any other text, graphics, images, software, music, audio, video, information or other content or material that Helping Hands Gallery, at its sole discretion, considers to be objectionable, in violation of these Terms or otherwise harmful to the Site or Services.
Sweepstakes and Contests
Helping Hands Gallery may operate sweepstakes, contests and similar promotions (collectively, “Promotions“) through the Site and Services. You should carefully review the rules (e.g., the “Official Rules“) of each Promotion in which you participate through the Site and Services, as they may contain additional important information about Helping Hands Gallery’s rights to and ownership of the submissions you make as part of the Promotions and as a result of your participation in such Promotions. To the extent that the terms and conditions of any Official Rules conflict with these Terms, the terms and conditions of the Official Rules will control.
Ownership
The Site, Services and Helping Hands Gallery Content are protected by copyright, trademark and other laws of the United States and foreign countries. Except as expressly provided in these Terms, Helping Hands Gallery and its licensors exclusively own all right, title and interest in and to the Site, Services and Helping Hands Gallery Content and Printed Works, including all associated intellectual property rights. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Services or Helping Hands Gallery Content.
Copyright Policy
Helping Hands Gallery respects copyright law and expects its users to do the same. It is Helping Hands Gallery’s policy to terminate in appropriate circumstances of Members or other Account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. You acknowledge and agree that Helping Hands Gallery is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Helping Hands Gallery of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
Termination and Account Cancellation
If you breach any of these Terms, Helping Hands Gallery will have the right to suspend or disable your Account or terminate these Terms, at its sole discretion and without prior notice to you. Helping Hands Gallery reserves the right to revoke your access to and use of the Site, Services, Helping Hands Gallery Content and Member Content at any time, with or without cause. In the event Helping Hands Gallery terminates these Terms for your breach, you will remain liable for any amounts due hereunder. You may cancel your Account at any time by sending an email to info@helinghandsgallery.com.

THE SITE, SERVICES, Helping Hands Gallery CONTENT AND MEMBER CONTENT ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, Helping Hands Gallery EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. Helping Hands Gallery MAKES NO WARRANTY THAT THE SITE, SERVICES, Helping Hands Gallery CONTENT OR MEMEBR CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. Indemnity
You agree to defend, indemnify, and hold Helping Hands Gallery, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site, Services, Helping Hands Gallery Content or Member Content, or your violation of these Terms.
Limitation of Liability
You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Site, Services, Helping Hands Gallery Content and Member Content remains with you. Neither Helping Hands Gallery nor any other party involved in creating, producing, or delivering the Site, Services, Helping Hands Gallery Content or Member Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms or from the use of or inability to use the Site, Services, Helping Hands Gallery Content or Member Content, or from any communications, interactions or meetings with other Members or users of the Site or Services or other persons with whom you communicate or interact as a result of your use of the Site or Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Helping Hands Gallery has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
In no event will Helping Hands Gallery’s aggregate liability arising out of or in connection with these Terms or from the use of or inability to use the Site, Services, Helping Hands Gallery Content or Member Content exceed: (i) if you are a Member who has sold Artwork(s)or has licensed Digital Works and has received any Artist Revenue Share from Helping Hands Gallery from the sale of Printed Works, the total payments made or credited to you by Helping Hands Gallery for the sale of your Artwork(s)and/or from the sale of Printed Works based on your licensed Digital Works during the three (3) month period preceding the date a claim for liability arises under these Terms; and (ii) if you are a Member who has purchased Artwork(s)or Printed Works, the total payments that you made to Helping Hands Gallery for the Artwork(s)and/or Printed Works that are the subject of a claim. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Helping Hands Gallery and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
Proprietary Rights Notices
All trademarks, service marks, logos, trade names and any other proprietary designations of Helping Hands Gallery used herein are trademarks or registered trademarks of Helping Hands Gallery. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties.
Controlling Law and Jurisdiction
These Terms and any action related thereto will be governed by the laws of the State of Louisiana without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in the Eastern District of Louisiana and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
Entire Agreement
These Terms constitute the entire and exclusive understanding and agreement between Helping Hands Gallery and you regarding the Site and Services and these Terms supersede and replace any and all prior oral or written understandings or agreements between Helping Hands Gallery and you regarding the Site and Services.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Helping Hands Gallery’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Helping Hands Gallery may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
Notices
Any notices or other communications permitted to required hereunder, including those regarding modifications to these Terms, will be in writing and given: (i) by Helping Hands Gallery via email (in each case to the address that you provide) or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
General
The failure of Helping Hands Gallery to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Helping Hands Gallery. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

What tax form do U.S. Artists submit?

The U.S. Government requires each artist who has sold artwork on Helping Hands Gallery to fill out a tax form in order to receive a full payout. If you’re a U.S. artist, please download and submit a W-9 form before requesting payment for a sale. Note that it isn’t necessary for you to submit a W-9 in order to begin selling on the site, as we will only need that information in order to pay you for works sold.
